These terms apply to the business subscription services provided by ManeOS PTY LTD, trading as ManeOS (ManeOS, we, us or our), to the business identified in the sign-up process or order (you or your). A person accepting these terms for a business confirms that they have authority to bind that business.
The agreement consists of these terms and the plan, quote or order you accept (Order). An Order records the subscribed services, fees, inclusions and any agreed special conditions. An expressly agreed special condition prevails over a conflicting provision of these terms. Mandatory legal rights always prevail.
You accept this agreement by accepting it during sign-up, signing an Order, or expressly agreeing electronically. We will make these terms available before acceptance. Our Privacy Policy explains how we handle personal information.
These terms govern the relationship between ManeOS and subscribing businesses. They do not replace a salon's own client booking, cancellation, refund or privacy terms. Separate terms may apply to a consumer booking account or a separately purchased product.
ManeOS provides cloud software for salon operations. Depending on your plan and enabled features, this may include appointments, online bookings, client records, checkout, payments integration, colour formulas, inventory, staff management, communications, reporting and AI assistance.
Your subscription includes only the services and usage allowances in your Order. Features described as planned, in development or coming soon are not included until released and made available to your plan. Hardware, payment processing, specialist migration work and third-party services are included only if expressly stated.
During your subscription, we grant you a non-exclusive, non-transferable right to use the services for your business and to allow your authorised staff and contractors to use them within your plan limits. You are responsible for compatible devices, internet access and managing those users.
You must provide accurate account and billing information, maintain current administrator and contact details, and keep sign-in credentials secure. Each user must use the access assigned to them. You must promptly remove access for people who no longer need it and notify us of suspected unauthorised access.
You are responsible for activity you authorise and for taking reasonable steps to prevent misuse by your users. This does not make you responsible for a security failure caused by ManeOS or its service providers. We may verify the authority of anyone requesting account changes, data exports or deletion.
Fees, billing dates, included usage and additional charges are set out in your Order or the pricing presented and accepted at purchase. Unless your Order says otherwise, amounts are in Australian dollars. We will identify whether GST is included or payable in addition before purchase.
By authorising recurring payments, you authorise our payment provider to charge the agreed subscription fees and any separately agreed usage, add-on or one-off charges. We will not treat acceptance of these terms as authority for undisclosed charges. Any payment surcharge will be disclosed before payment and comply with applicable law.
You must keep your payment method current. Removing a payment method does not cancel your subscription. You can cancel under section 5. We will stop future subscription charges when cancellation takes effect, although charges already incurred may remain payable.
If you dispute an invoice, contact us promptly with the reason. We will investigate in good faith. You must pay undisputed amounts when due. We will not suspend access solely because of an amount reasonably disputed while you cooperate with that process.
For an overdue undisputed amount, we will give written notice and at least 14 days to resolve it before suspending services, unless another ground for immediate suspension under section 15 applies. We will restore access promptly after the issue is resolved.
Standard subscriptions are month to month, with no minimum contract term. They renew monthly until cancelled. A different arrangement applies only if expressly agreed in your Order.
You may cancel at any time through the available billing controls or by emailing hello@getmaneos.com from an authorised account contact. Ordinary cancellation takes effect at the end of the current paid billing period. If you have a right to terminate for our unremedied material breach or a materially adverse change under sections 6 or 19, you may instead specify an earlier effective date permitted by that right, including immediately once a breach termination right arises or before the adverse change takes effect. We will confirm the effective date and no further renewal fees will be charged after that date. There is no cancellation fee for a standard month-to-month subscription.
Unless a refund right below or a mandatory legal right applies, cancelling part-way through a billing period does not result in a refund for that period, and access continues until it ends.
If we terminate without your breach, or you terminate because of our unremedied material breach or a materially adverse change under section 6, we will refund prepaid fees for the unused period after termination. Fees for work already properly completed and usage already incurred remain payable, subject to your legal rights.
Trials and promotional offers are subject to the terms disclosed before you accept them. A trial converts to a paid subscription only if you have expressly agreed to the price, conversion date and recurring payment arrangement. Any negotiated price guarantee or fee waiver remains effective for its agreed duration.
We may update the services to improve functionality, reliability or security. We will give at least 30 days' written notice of a subscription price increase or a change that materially reduces the core functionality you have purchased. Price increases apply no earlier than the first renewal after the notice period and cannot override an agreed price guarantee.
If a change materially disadvantages you, you may cancel before it takes effect without penalty. If an essential legal or security change must take effect sooner and materially reduces the service, you may terminate and receive a refund of prepaid fees for the unused period. We will explain the change as soon as reasonably possible.
You must use ManeOS lawfully and within your agreed plan. You must not:
You may report suspected security issues to hello@getmaneos.com. Testing that could affect other users or service availability requires our prior written agreement.
You are responsible for your salon services, staff decisions, client communications, prices, bookings, cancellations, refunds, taxes and employment obligations. ManeOS is not a party to your contract with a salon client merely because the transaction uses our software.
You must verify important business records, imported data, payroll inputs, product information and reports before relying on them. We remain responsible for delivering our services with reasonable care and skill, including any migration work we agree to perform.
You must provide appropriate privacy and collection notices and obtain any consent required for client and staff information, health information, photographs, marketing and recording. Collect only information reasonably needed for your business and restrict access to sensitive records.
For marketing, you must have valid permission, identify the sender and provide a working unsubscribe option. A booking or acceptance of these terms does not by itself establish marketing consent.
You must ensure any call recording, transcription or monitoring is lawful, including providing notices and obtaining consent where required. Do not enable a recording feature until those requirements are satisfied.
Customer Data means information, files, records and other content you or your users submit to the services, including client and staff information. As between you and ManeOS, you retain your rights in Customer Data, subject to individuals' rights and third-party rights. We do not acquire ownership of your client database.
You authorise us to host, copy, transmit and otherwise process Customer Data only as reasonably necessary to provide and secure the services, fulfil your lawful instructions, provide support and meet legal obligations. This permission ends when the relevant processing is no longer required, subject to section 16.
We may use appropriately de-identified and aggregated usage information to improve the service, provided it does not reasonably identify you or an individual. We will not sell identifiable client or staff information or use your client lists for our own marketing.
We may engage service providers to perform these activities. We will require appropriate confidentiality and data protection commitments and remain responsible for our contractual obligations when using them. Optional integrations you select may also process information independently under their own terms.
Each party must comply with the privacy laws applicable to its activities. You determine the information your business collects and the purposes for which you use it. ManeOS also has its own responsibilities for the information it handles. The Privacy Policy describes these activities and relevant disclosures.
We will maintain reasonable technical and organisational safeguards appropriate to the information we handle, including access controls and measures to protect data during transmission and storage.
If we become aware of unauthorised access to, loss of or disclosure of Customer Data that affects your business, we will notify you without undue delay, provide available information reasonably needed to respond, and cooperate in containment, assessment and remediation. We will make notifications to regulators and affected individuals where required by law and coordinate with you where appropriate.
Neither party is relieved of its own statutory notification obligations. You must promptly tell us about incidents affecting your account. You should keep independent copies of business records you are required to retain; that does not reduce our agreed security or service obligations.
Where enabled, AI features may process relevant prompts, documents, client history, messages or call content to produce summaries, extracted information, drafts or suggestions. Relevant information may be sent to the AI service providers described in the Privacy Policy.
AI output can be incomplete or incorrect. You must review it before sending it to clients, changing records or making decisions. AI assistance is not a substitute for professional advice or your responsibilities in areas such as employment, tax, health or product safety.
Use only information necessary for the task and authorised for that use. These terms do not grant permission to use identifiable Customer Data to train general-purpose AI models. Any such use would require a separate lawful basis and clear disclosure.
Payment processors, telecommunications providers, app stores and integrations may have separate terms, fees and privacy practices. We will identify relevant third-party requirements when you connect or purchase them.
Unless expressly agreed otherwise, the relevant payment processor processes client payments and settles funds under its agreement with you. You remain responsible for client refunds and chargebacks relating to your salon transactions, except to the extent caused by our breach or error.
We are responsible for our integration work and our own obligations. We do not control the independent availability or decisions of a third party. If a third-party change materially prevents us from supplying an essential paid feature, we will work with you on a reasonable alternative or cancellation and refund for the affected unused service.
We and our licensors retain rights in the ManeOS software, branding, designs and documentation. No rights are transferred other than the right to use the services under this agreement. Customer Data remains subject to section 9.
Each party must protect the other's confidential information, use it only for this agreement and disclose it only to people who need it and are bound by appropriate confidentiality obligations. This does not restrict information already lawfully known, independently developed, public through no breach, or lawfully obtained from another source.
Required legal disclosure is permitted. Where lawful, the disclosing party must give reasonable advance notice and limit disclosure to what is required. We will not use your name or logo in a public testimonial or customer promotion without permission.
We will use reasonable care and skill to provide the services and reasonable efforts to maintain availability. Maintenance, faults and external dependencies may cause interruptions. We will give advance notice of planned work likely to materially disrupt service where reasonably practicable.
Support is available at hello@getmaneos.com. Any guaranteed support hours, response times, uptime commitments or service credits must be expressly agreed in your Order. The absence of a separate service level agreement does not remove your legal rights or our obligations under these terms.
We may suspend only the access reasonably necessary to address a material breach, overdue undisputed fees after the notice in section 4, a genuine security threat, unlawful use, or a legal requirement. We will give reasons and an opportunity to resolve the issue where practicable. Immediate suspension is permitted where delay would create a material risk or breach the law.
We will review a suspension promptly and restore access once the grounds no longer apply. Suspension does not automatically end your subscription or give us a right to retain fees for services we are legally required to refund.
Either party may terminate for a material breach if the other party does not remedy it within 14 days after written notice describing the breach. A serious breach that cannot reasonably be remedied may justify immediate termination.
We may end a standard month-to-month subscription without cause on at least 30 days' written notice. We will provide the refund described in section 5 and reasonable access to export data under section 16.
You may export Customer Data through available tools during your subscription. We will provide a reasonable standard export on request during the subscription and for 30 days after it ends, subject to identity checks, legal restrictions and protection of others' information. We will not withhold a standard export solely because of a fee dispute.
Any custom conversion or migration assistance requiring additional work must be quoted and accepted separately. Export does not include our proprietary software or information we cannot lawfully disclose.
After the 30-day export period, we will delete or de-identify Customer Data from active systems within a further 60 days, except information that must be retained for legal obligations, a genuine dispute, security investigation or your separate lawful instruction. Retained information will be restricted to those purposes. Backup copies will expire under the backup retention period disclosed in the Privacy Policy.
You must arrange continued retention of records your business is legally required to keep before account closure. Closing a subscription does not transfer those obligations to ManeOS.
Nothing in this agreement excludes, restricts or modifies rights, guarantees or remedies that cannot lawfully be excluded, including under the Australian Consumer Law. Any refund, liability limit or other provision in these terms is subject to those rights.
Subject to those rights and the exceptions below, each party's total liability arising from this agreement is limited to the greater of AUD 5,000 and the fees paid or payable under this agreement for the 12 months before the event giving rise to the claim.
The cap does not apply to fraud, wilful misconduct, a breach of confidentiality or privacy obligations, infringement of the other party's intellectual property, unpaid agreed fees, or liability that cannot lawfully be limited.
Each party's liability is reduced to the extent the other party caused or contributed to the loss, and each must take reasonable steps to minimise its loss. Neither party is liable for loss that was not reasonably foreseeable. Reasonably foreseeable costs of restoring data or obtaining substitute services are not excluded merely because they may be described as consequential loss.
Contact hello@getmaneos.com with a description of any dispute and the outcome you seek. Each party will appoint a representative and make reasonable efforts to resolve the dispute within 30 days. Either party may agree to mediation.
This process does not prevent urgent court relief, a complaint to a regulator, or exercise of a mandatory legal right. Contractual notices may be sent to the account contact email or, for ManeOS, hello@getmaneos.com. Notices take effect when capable of being retrieved at the nominated address, unless the sender receives a failure notice.
These terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of its courts and courts hearing appeals from them. This does not remove rights to bring proceedings in another forum where the law provides them.
Neither party may transfer this agreement without the other's consent, which must not be unreasonably withheld. We may transfer it as part of a genuine business sale or restructure if the successor assumes our obligations, your rights are not materially reduced and we give notice.
A party affected by an event genuinely beyond its reasonable control must notify the other and take reasonable steps to reduce its impact. If that event substantially prevents service for more than 30 days, either party may terminate the affected service, with a refund for the prepaid unused period. This does not excuse a failure to take reasonable precautions or remove mandatory rights.
We may amend these terms by giving at least 30 days' written notice of a material change. You may cancel before a materially adverse change takes effect, with any applicable refund under section 5. Changes required urgently by law or security may take effect sooner, with notice as soon as reasonably practicable. Changes do not retrospectively remove accrued rights or override expressly agreed special conditions.
If a provision is unenforceable, the remaining provisions continue to operate to the extent possible. A delay in enforcing a right is not a waiver. Provisions concerning accrued payment obligations, confidentiality, intellectual property, data handling, liability and disputes survive termination to the extent needed to give them effect.
